Chapter 17 - The Emergency Vote
Every board member attended the emergency meeting.
Graham sat at the far end of the table, calm and formally dressed. Marianne Cole, the company’s general counsel, sat beside him with a stack of legal documents.
Adrian entered with Daniel.
Elena followed them.
Graham’s composure shifted when he saw her.
“This is a corporate meeting,” he said. “Not a family argument.”
Elena placed her voting proxy on the table.
“As founder’s widow and trustee of the family shares, I am exactly where I belong.”
Graham presented the allegations against the Dignity Fund. He described the false beneficiaries, the public scrutiny, and Adrian’s failure to identify the fraud sooner.
“The company cannot survive another scandal created by his personal decisions,” Graham concluded.
Adrian did not defend himself immediately.
Instead, he distributed copies of the Account 417 statements, the restitution agreement, and Martin’s memorandum.
Graham glanced at Marianne.
The movement was small, but Elena noticed it.
“These papers are decades old,” Graham said. “My brother forgave a business dispute that has no connection to today.”
“The account sent money to the Laurent family,” Adrian replied.
“Then Raymond Laurent manipulated an inactive company.”
“Your assistant removed the records from Margaret’s storage unit.”
“Without my knowledge.”
Oliver Kane had submitted a written statement saying otherwise, but Graham dismissed it as an attempt by a frightened employee to protect himself.
The first vote concerned Adrian’s temporary suspension.
Four directors voted to remove him.
Four voted against.
Graham looked toward Elena.
Her shares would decide the result.
“I warned Martin that forgiveness without accountability only delays the next betrayal,” she said. “He wanted to believe family loyalty could repair what character had broken.”
She voted against Adrian’s removal.
The motion failed.
Graham rose from his chair.
“This company will regret allowing emotion to overrule evidence.”
“No,” Elena replied. “The mistake was allowing family affection to replace evidence years ago.”
Before Graham left, Marianne placed a sealed legal notice in front of Adrian.
A group of shareholders had filed a claim challenging Elena’s authority over the founder’s shares.
The claim included a recording of Martin Vale declaring that Adrian was incapable of leading the company.
If the recording was accepted as genuine, Elena’s deciding vote could be invalidated.
