Chapter 11 - The Vote Before Midnight)

The trust activation changed everything.
At 2:14 that afternoon, Marina Ricci became the voting beneficiary of twenty-five percent of the Ricci family shares.
At 2:19, Damiano called an emergency board meeting.
By 3:00, eleven directors were seated around the long conference table at Ricci Family Holdings.
Two chairs were empty.
Charles Fenwick.
Peter Lawson.
Damiano stood at the head of the table.
Marina sat beside him.
The room noticed.
Some directors knew Marina socially.
None had ever seen her in a corporate meeting.
Damiano did not explain immediately.
He placed copies of the forged transfers on the table.
"Over the past eighteen months, approximately two million dollars was moved from company accounts through falsified approval codes bearing my initials."
Murmurs spread.
"Some transfers were initiated by my mother, Helena Ricci."
The room went silent.
"But she was not the final recipient of most funds."
He displayed the account structure.
"Someone exploited her illegal payments and redirected money through secondary entities."
A director frowned.
"Where is Helena?"
"At home."
"And Lawson?"
"Missing."
"Fenwick?"
"Missing."
The murmurs intensified.
Damiano raised one hand.
"There's more."
Marina looked at him.
They had agreed he would say it.
"My father, Vittorio Ricci, had another biological son."
Silence.
"That son is Gabriel Vale."
One director dropped his pen.
Damiano continued.
"My father's legally executed estate documents granted Gabriel twenty-five percent of his personal company shares."
An older board member stood.
"That's impossible."
Marina recognized him.
Robert Keene.
He had attended their wedding.
Damiano looked at him.
"Sit down."
Keene sat.
"Those shares were transferred years ago into a trust."
Marina felt every eye turn toward her before Damiano even spoke.
"The beneficiary is my wife."
The room erupted.
Questions.
Accusations.
Shock.
Damiano waited.
Then Marina spoke.
"The trust became active today."
Silence returned.
Her voice was calm.
"For years, the voting proxy on those shares was exercised indirectly by Helena Ricci."
Keene turned pale.
Marina noticed.
Interesting.
"Effective today," she continued, "that proxy is terminated."
A director asked, "What exactly are you proposing?"
Damiano answered.
"An immediate independent forensic audit."
Keene shook his head.
"That would damage investor confidence."
Marina looked at him.
"More than hidden transfers and forged approvals?"
"We can handle this internally."
"That's what people say when they don't want outsiders looking."
Keene stared at her.
Damiano almost smiled.
The vote was called.
Damiano's block supported the audit.
Marina's newly activated twenty-five percent made opposition meaningless.
It passed.
Then Marina proposed a second motion.
Temporary suspension of financial authority for Peter Lawson and any executive linked to Bellweather Advisory.
Passed.
Third motion.
Immediate preservation of all electronic records.
Passed.
At 3:46, Marco received a message.
He leaned toward Damiano.
"We got a hit on Lawson's company car."
"Where?"
"Abandoned near Stamford."
"And Fenwick?"
"No."
Marina watched Keene checking his phone repeatedly.
She whispered to Damiano, "Robert."
Damiano glanced.
He noticed too.
After the meeting, Keene tried to leave quickly.
Marco stopped him in the hall.
"Mr. Keene, one moment."
Keene forced a smile.
"I have a flight."
Damiano approached.
"Where?"
"Miami."
"Cancel it."
Keene laughed.
"You can't order me."
"No. But the federal preservation notice our counsel filed forty minutes ago can make disappearing look very bad."
Keene's smile faded.
Marina stepped closer.
"Do you know Charles Fenwick?"
"Obviously."
"Do you know where he is?"
"No."
"Peter Lawson?"
"No."
Keene looked at his watch.
Damiano said, "You checked your phone eleven times during the meeting."
"So?"
"You're nervous."
"This entire company may become front-page scandal because your wife inherited shares through a dead mistress."
Marina's expression did not change.
"My grandmother."
Keene rolled his eyes.
Damiano stepped forward.
"Say something disrespectful about her again."
Keene went quiet.
Marco's phone buzzed.
He looked at the screen.
"Sir."
Damiano turned.
"Security recovered traffic footage."
He showed the image.
A black SUV leaving the service road behind the mansion during the archive fire.
The driver was Peter Lawson.
The passenger was Charles Fenwick.
And in the back seat, barely visible through the window, was Simon Vale.
Marina's stomach tightened.
Keene's face changed.
Damiano saw it.
"You recognize the car?"
"No."
"Marco."
"Registered to a shell company."
"Which one?"
"Bellweather Advisory."
Keene turned to leave.
Marco blocked him.
Damiano's voice was quiet.
"You knew."
Keene looked at him.
"I know nothing."
Marina's phone rang.
Unknown number.
She answered.
A man's voice.
"Mrs. Ricci?"
"Yes."
"Tell your husband Robert Keene is not part of this."
Marina froze.
"Who is this?"
"Simon."
Damiano grabbed the phone and switched to speaker.
"Where are you?"
"Don't trust the photograph."
Gabriel stepped closer.
"What does that mean?"
Simon's breathing sounded strained.
"The kidnapping is staged."
Everyone froze.
Damiano's eyes narrowed.
"By whom?"
"Me."
Gabriel stared.
Simon continued.
"I needed them to move."
"Who?"
"Fenwick and Lawson."
Marina felt anger rise.
"You made us think you were kidnapped?"
"I needed Gabriel to bring everyone together."
"Why?"
"Because Fenwick has been trying to steal the trust for seventeen years."
Damiano looked at Keene.
Keene seemed as shocked as everyone else.
Simon continued.
"But something went wrong."
"What?"
"Lawson found out the picture was staged."
"Where are you now?"
A sound in the background.
A door slamming.
Simon whispered.
"Not alone."
The call ended.
Marco tried tracing it.
Damiano looked at Gabriel.
"Where would Simon go?"
Gabriel's face was pale.
"The old Vale house."
Marina remembered Colton's words.
The deposit box beneath the house.
Damiano checked the time.
4:02.
Eight hours before the midnight demand.
May you like
And suddenly they realized the deadline had never been meant for them.
It was meant for whoever reached the Vale house first.
