Chapter 6 - the boardroom without Mark)

Bennett Urban Development occupied the top twelve floors of a glass tower downtown.
Mark had spent sixteen years building the company his father founded.
He knew every board member.
He knew which ones feared risk.
Which ones feared scandal.
Which ones feared losing money more than they valued loyalty.
Tony knew too.
That was why he had chosen the boardroom.
Mark could not reach the building quickly.
His doctor had warned him against prolonged movement even before Vanessa aggravated the fracture.
Henry refused to let him travel without medical clearance.
So Mark joined the emergency meeting by encrypted video from the mansion library.
His face appeared on a screen at the far end of the boardroom.
Tony was already there.
So was Arthur Kline, an outside attorney Mark had never hired.
Tony smiled when Mark appeared.
"Good afternoon."
Mark stared at him.
"Put my property on the table."
Tony touched the certificate.
"This?"
"Yes."
"I believe ownership is currently disputed."
"No. Your freedom is currently disputed. Ownership is not."
Henry touched Mark's arm.
A reminder.
Facts.
Not threats.
Tony leaned back.
Around the table sat nine directors.
Some looked embarrassed.
Some afraid.
One, Martin Shaw, looked annoyed.
"Mark, Tony presented documents indicating you delegated voting authority to your wife during your incapacity."
"I did not."
Arthur Kline lifted the proxy.
"We have notarized signatures."
Henry moved into camera view.
"Then you have notarized fraud."
Arthur adjusted his glasses.
"That's an allegation."
"Correct. Which is why I recommend you preserve every document you've received."
Tony smiled.
"Mark, nobody is trying to steal your company."
"Then return the certificate."
"I can't."
"Why?"
"It was given to me by an authorized party."
"Who?"
Tony glanced toward someone beyond camera range.
Mark felt it before he saw her.
Clara entered the boardroom.
Brooke whispered behind Mark.
"No."
Clara had left the mansion twenty minutes earlier after telling Henry she needed air.
The smart locks did not prevent people from leaving.
Henry had made that clear.
Mark had assumed she wanted distance.
Instead, she had gone to Tony.
Clara sat beside him.
Mark's face showed nothing.
Inside, something closed.
Tony said, "Mrs. Bennett confirms the proxy."
Mark looked at Clara.
"Do you?"
She met his eyes through the screen.
"Yes."
Brooke stood.
"Clara, what are you doing?"
Clara ignored her.
Mark said, "You told me Tony caused the accident."
Several board members reacted.
Tony's smile disappeared.
Clara remained calm.
"I was emotional."
"You confessed to altering my medication."
"I said many things while you were threatening my family."
Mark nearly laughed.
Henry leaned closer.
"Careful, Clara."
Arthur Kline interrupted.
"Mr. Cole, this meeting concerns corporate governance, not marital accusations."
Henry nodded.
"Then corporate governance should interest you."
He held up a copy of the prenuptial agreement.
"Article Eleven was activated at 4:17 this afternoon."
Martin Shaw frowned.
"What does a prenup have to do with us?"
"Nothing directly. But the Bennett Family Trust does."
Henry opened another document.
"Under the trust charter, any voting proxy issued during a verified coercion event is suspended pending review."
Tony's face tightened.
Arthur reached for the certificate.
Henry continued.
"The trust received Mark's distress signal before these documents were presented."
A director asked, "What distress signal?"
Henry looked at the screen.
"Recorded physical coercion in Mark's residence."
Clara's face changed slightly.
She had forgotten about the independent system.
Tony leaned toward her and whispered.
Mark could not hear the words.
He did not care anymore.
Martin Shaw said, "Then we have no valid proxy."
Arthur objected.
"We have Clara Bennett's confirmation."
Henry looked at Clara.
"Clara has no independent authority over Mark's trust shares."
Tony stood.
"This is absurd."
Mark spoke.
"Sit down."
Tony looked at the screen.
Something in Mark's voice made him hesitate.
"You wanted the board," Mark continued. "Now you have them."
Tony sat.
Mark looked at each director.
"Six months ago my car went off Riverside Bridge. Since then I have been physically unable to perform most of my normal duties. During that period, documents were created using signatures I did not provide."
He held up a copy.
"The person sitting beside my wife removed a protected certificate from my home this afternoon."
Tony interrupted.
"I was given access."
Mark continued as though he had not spoken.
"Video exists showing him inside my garage before my accident. Video also exists showing him discussing how my incapacity could be used to obtain control."
Now the boardroom went silent.
Tony's composure broke.
"This is defamation."
Henry said, "Would you like us to play the recording?"
Arthur touched Tony's arm.
"Don't answer."
Mark looked at Clara.
She appeared calm.
Too calm.
That bothered him.
Then he noticed something.
Her right hand was beneath the table.
Holding her phone.
She looked toward the screen.
Then deliberately tilted the phone enough for Mark to see.
A message was displayed.
HE HAS BROOKE.
Mark's heart stopped.
Clara mouthed one word.
Please.
Mark turned.
Brooke was no longer behind him.
He looked toward the library door.
Empty.
"When did Brooke leave?"
Henry turned.
"What?"
Mark wheeled backward.
"Brooke."
They rushed into the hallway.
Her handbag remained on a chair.
Her phone lay beside it.
The side entrance stood open.
Mark understood instantly.
Tony had never arrived at the boardroom alone.
He had sent someone to the mansion.
Or someone had been waiting nearby.
Mark returned to the video screen.
Tony was smiling again.
Not because he controlled the board.
Because he believed he controlled Mark.
Clara was not supporting him.
She was obeying him.
Mark forced his voice to remain steady.
"Tony."
"Yes?"
"You want the certificate?"
"I already have it."
"You want the proxy recognized?"
Tony shrugged.
"I want everyone to follow the law."
Mark looked at Clara.
Her eyes were terrified.
Then at Tony.
"What do you really want?"
Tony leaned closer to the camera.
"Now we're finally negotiating."
Henry whispered, "Don't."
Mark ignored him.
"What do you want?"
Tony's smile returned fully.
"Open the second safe."
Mark went still.
Henry looked at him.
There was only one person outside the Bennett family who knew a second safe existed.
Mark's father.
And Daniel Bennett had been dead for seven years.
Tony said, "You have thirty minutes."
The boardroom feed went black.
Henry stared at the empty screen.
Mark whispered the question they were both thinking.
"How does he know about the second safe?"
