Chapter 7 - The Boardroom Without Richard
Three days later, Hartwell Technologies held its emergency shareholder meeting.
Evelyn could not attend in person. Her doctors would not allow her to leave the hospital, so she appeared through a secure video connection.
Richard arrived at the company headquarters with two attorneys and a prepared speech.
He expected to challenge Northstar’s purchase, accuse Evelyn of manipulating the market and persuade the board that removing him would damage the company.
Instead, he found federal investigators waiting in the lobby.
They did not arrest him immediately.
They served warrants for his office, phone and private financial accounts.
Inside the boardroom, every seat was occupied. Directors who had spent years agreeing with Richard now avoided his eyes.
Maya sat at the head of the table beneath a large screen showing Evelyn’s hospital room.
Evelyn wore a simple blue robe. Her face was still bruised, and the bandages on her legs remained visible beneath the blanket.
But her voice was steady.
“This meeting is not about my marriage,” she began. “It is about Hartwell Technologies and the people who depend on it.”
Richard leaned toward his microphone.
“This meeting is based on a personal revenge campaign.”
Evelyn continued as though he had not spoken.
“For months, company funds were transferred to businesses connected to private associates of our chief executive. Board approvals were forged. Corporate guarantees were used to secure undisclosed loans. A major expansion was designed to enrich people connected to Celeste Grant.”
Celeste was not present.
Richard’s attorneys had advised her to stay away.
Jonah distributed the financial records.
The evidence was precise and overwhelming.
Richard interrupted repeatedly.
“These are accounting misunderstandings.”
“They are signed authorizations,” Jonah said.
“My electronic signature was used by multiple people.”
“Then perhaps you can explain the security records showing the approvals came from your private device.”
Richard turned toward him.
“You should be careful, Jonah.”
The room fell silent.
Evelyn watched from the screen.
“That is exactly how Richard has controlled this company,” she said. “Through threats, status and the belief that no one would challenge the Mercer name.”
Richard stood.
“I am the Mercer name.”
Evelyn looked directly at him.
“A name is not a company.”
She remembered saying something similar years earlier.
Back then, Richard had laughed.
Now no one did.
Maya presented the shareholder resolution.
The first motion removed Richard as chief executive.
The second removed him from the board.
The third appointed an independent committee to cooperate with investigators and recover misused funds.
Northstar controlled enough shares to pass every motion.
However, the remaining shareholders were also allowed to vote.
The result was nearly unanimous.
Richard stared at the numbers on the screen.
Even his mother’s representative voted against him.
“You would have nothing without me,” he said to Evelyn.
Evelyn answered quietly.
“Hartwell nearly had nothing because of you.”
Security escorted Richard from the building he had once treated like a private kingdom.
Employees watched from behind glass walls.
