Chapter 14 - The Lake House)

Richard refused to let Caroline go.

Caroline went anyway.

At 3:40 in the morning, they left in two vehicles with Malcolm's private security following at a distance.

Richard drove.

Evelyn sat beside him.

Caroline sat in the back.

No one spoke for the first twenty minutes.

The road narrowed as they moved north.

Caroline recognized it before the others said anything.

The lake.

The red canoe.

Her childhood memory.

Her parents arguing behind the cabin.

Thomas leaving before breakfast.

She leaned forward.

"I've been here."

Richard's hands tightened on the steering wheel.

"Once."

"Why only once?"

"Because your mother refused to come back."

"Why?"

Richard stared at the road.

"Thomas and I fought."

"About the company?"

"Yes."

"Marcus?"

Richard hesitated.

"I didn't know it then."

Evelyn looked over.

"What happened?"

"Thomas accused Marcus of manipulating a lender."

"And you?"

"I accused Thomas of trying to sabotage the company because he regretted selling."

Caroline leaned back.

"My mother agreed with Thomas."

"Eventually."

The lake house appeared through the trees at 5:07.

Dark.

Weathered.

Abandoned-looking.

No car outside.

Richard stopped.

Private security took positions along the road.

Thomas had specifically instructed them not to bring police.

Richard had ignored that part indirectly.

Two state detectives waited ten minutes away.

They approached the cabin.

Caroline's heart hammered.

Richard knocked.

Nothing.

He knocked again.

The door opened.

Laura Benton stood inside.

No disguise.

No green dress.

Dark sweater.

Hair tied back.

She looked exhausted.

"You're late."

Richard stared at her.

"Where is my brother?"

"Inside."

They entered.

Thomas Mercer stood beside the fireplace.

For the first time in six years, Richard saw his brother without a screen between them.

Neither moved.

Thomas looked older than the photograph.

Richard looked angrier than Caroline had ever seen him.

Then Richard crossed the room.

Caroline expected a punch.

Instead, he grabbed Thomas by the coat and pulled him into an embrace.

It lasted only two seconds.

Then Richard shoved him away.

"You bastard."

Thomas nodded.

"Fair."

"You let me think you were dead."

"Yes."

"You let her think you were dead."

He pointed toward Caroline.

Thomas looked at her.

His face broke.

"Carrie."

She did not move.

"You don't get to call me that."

He nodded again.

"Also fair."

Caroline folded her arms.

"Start talking."

Thomas glanced toward Evelyn.

"So Anne chose well."

Evelyn's expression hardened.

"Do not flatter me."

Thomas almost smiled.

"She said you'd hate being manipulated."

"She was right."

Richard stepped between them.

"Harbor Nine."

Thomas looked at him.

"What do you know?"

"Enough."

"That's dangerous."

"Try me."

Richard laid out the known pieces.

Thirty-one percent.

Eighteen percent conversion defense.

Two-percent Vale block.

Eleven-percent reserve.

Thomas's face changed when Richard mentioned the reserve.

"How did you find that?"

"Anne's notebook."

Thomas looked toward Caroline.

"You read it?"

"Yes."

"Then you know what Marcus did."

"We know what Mom believed."

Thomas walked toward the window.

"Your mother was right."

Richard's voice sharpened.

"Then why are you selling the eleven percent?"

Thomas turned.

"I'm not."

Malcolm stepped forward.

"A filing says you are."

"Forged."

"Your signature?"

"Forged."

"Your authentication key?"

"Stolen."

Laura spoke.

"That's why I entered Richard's study."

Evelyn looked at her.

"You knew someone was using Derek's credentials."

"Yes."

"Why disguise yourself as Caroline?"

"Because Marcus had remote access to the camera feed through a Mercer server. He expected Derek to check the trustee request. I needed him to think Caroline followed."

Caroline frowned.

"You copied files."

"Evidence."

"And canceled the data transfer."

"Marcus had scheduled it."

Richard looked at Thomas.

"How long have you been working with Laura?"

"Eight months."

"Why?"

"Because she found vendor payments linked to Marcus."

"Derek?"

"Derek was one path."

Caroline's face tightened.

"Did Derek know you were alive?"

"Six months."

"And said nothing."

Thomas looked at her.

"Derek was compromised long before that."

"By Marcus?"

"By debt."

"What debt?"

"Sports betting. Private loans. Then vendor kickbacks."

Caroline closed her eyes.

Another hidden life.

Thomas continued.

"Marcus discovered it and owned him after that."

"Did Derek marry me because Marcus told him to?"

Thomas did not soften the answer.

"Yes."

Caroline looked away.

Evelyn moved beside her.

This time Caroline did not reject the closeness.

Thomas continued.

"But Marcus made a mistake."

"What?" Richard asked.

"He assumed Derek would remain loyal once Caroline became collateral damage."

Caroline laughed bitterly.

"He stole eighty-six thousand dollars from me."

"People don't become good all at once."

Thomas's answer was unpleasantly reasonable.

Richard pointed toward the table.

"Who controls Harbor Nine right now?"

Thomas looked at Caroline.

"Legally?"

"Yes."

"Caroline."

Her face went still.

"Without my signature?"

"Your mother structured the beneficial ownership to activate under several contingencies."

"Thirty-five."

"One of them."

"The trustee change."

"Another."

"What else?"

Thomas hesitated.

"An attempted hostile conversion by Harbor Capital."

Malcolm understood.

"Which happened tonight."

Thomas nodded.

"So Marcus triggered the very mechanism Anne created to stop him."

"Yes."

Caroline whispered, "Then I control Harbor Nine now."

"Legally, yes."

Richard exhaled.

"And the eleven percent?"

Thomas opened a metal cabinet.

Inside were paper certificates.

"The reserve."

Malcolm stepped closer.

"Physical bearer structure?"

"Originally. Later converted."

"Who is the registered owner?"

Thomas looked at Evelyn.

"Vale Community Housing Trust."

Evelyn stared at him.

"What?"

"You established it twenty-three years ago."

"I know what it is."

"You also wrote the bylaws so its assets could never be sold for private enrichment."

"Yes."

"Anne liked that."

Evelyn seemed genuinely angry now.

"You transferred eleven percent of Mercer into my nonprofit without telling me?"

"Not directly. Into a custodial vehicle benefiting it."

"That is not better."

"No."

Richard stared.

"So Evelyn controls eleven percent."

Thomas shook his head.

"No one person controls it. That's why Anne chose it."

Caroline understood.

"Marcus can't buy it."

"Correct."

"Then his filing is false."

"Yes."

"Then we can stop him tomorrow."

Thomas did not answer.

Caroline frowned.

"What?"

Thomas looked toward Laura.

She opened a laptop.

"Marcus doesn't need the eleven percent if the conversion clause gets interpreted the way he intends."

Malcolm leaned over the screen.

A hidden amendment appeared.

Richard whispered, "I've never seen this."

Thomas said, "Because Marcus replaced the executed copy after Anne died."

The amendment stated that upon contested ownership, Harbor Capital's successor could temporarily exercise voting rights over disputed shares until adjudication.

Malcolm went pale.

"Temporary control."

"Exactly."

"How much?"

"Enough to control tomorrow's board vote."

Richard stared.

"What board vote?"

Laura looked at him.

"The one removing you as CEO."

Silence.

Caroline looked at the clock.

5:48 a.m.

The board meeting was in two hours and twelve minutes.

"We can show them the forgery."

Thomas shook his head.

"Not quickly enough."

"We have Anne's records."

"Historical notes."

"The original side letter."

"Copies."

Richard stepped forward.

"What do we have that Marcus cannot challenge?"

Thomas looked directly at Caroline.

"You."

She frowned.

"Me?"

"You are the activated beneficial owner of Harbor Nine."

"And?"

"Marcus filed in your name."

"So?"

Thomas pushed a document across the table.

"If you personally appear at the board meeting and repudiate the filing, the directors cannot pretend there's no dispute."

Caroline looked toward Richard.

"So I save Dad's company."

Thomas's expression became strange.

"No."

"What?"

"You decide whether it should remain his company."

Richard stared at his brother.

Thomas continued.

"Anne didn't create Harbor Nine to save Richard's control."

Caroline looked down at the documents.

"Then why did she create it?"

May you like

Thomas's answer changed everything.

"So that one day, if Richard became like Marcus, you could stop both of them."
