Chapter 10 - The Boardroom Trap

Crown Lake Partners occupied the top six floors of a black-glass tower overlooking the financial district.
Nathan did not enter through the lobby.
Margaret used an underground parking entrance reserved for legal counsel. Elena remained inside the car with three computers and a direct connection to Blackridge’s employee network.
Vanessa went in alone.
Her hidden microphone transmitted every sound.
At 9:04 a.m., Adrian called the meeting to order.
“Nathan Mercer has concealed catastrophic debt, misrepresented company reserves, and abandoned his responsibilities during an active liquidity crisis.”
Nathan listened through an earpiece as he and Margaret moved toward the service elevators.
Four board members sat around Adrian.
Three had already signed the removal resolution.
The fourth, Leonard Pike, sounded uncertain.
“Has Nathan been given an opportunity to respond?”
“He cannot be located,” Adrian said.
Vanessa spoke.
“I saw him last night.”
Nathan stopped walking.
Adrian’s chair shifted.
“Did he disclose where he was going?”
“No.”
“Did he appear stable?”
Vanessa hesitated.
It was the exact opening Adrian wanted. If she described Nathan as irrational, the board could use the incapacity clause.
Instead, she said, “He appeared like a man whose closest friend had stolen sixty-four million dollars from him.”
Silence filled the boardroom.
Adrian’s voice became cold.
“What did you say?”
Vanessa placed the withdrawal record on the table.
“Why is your signature on this transfer?”
Leonard Pike picked up the document.
“Where did you get that?”
“It was sent to Nathan.”
Adrian laughed.
“A fabricated record from an anonymous criminal.”
“Then you won’t object to an independent audit.”
“This meeting concerns Nathan’s misconduct.”
“It concerns control of Blackridge.”
Nathan and Margaret reached the thirty-seventh floor.
A security guard stood outside the boardroom corridor.
Margaret handed him a court filing.
He examined the first page.
“This is not an injunction.”
“No,” Margaret said. “It is notice that every person obstructing the preservation of evidence may be named individually.”
The guard stepped aside.
Inside the boardroom, Adrian pushed the marital voting agreement toward the directors.
“Vanessa has signed the transfer. Nathan’s shares now vote through Halcyon.”
Leonard read the final line.
“Subject to verification of all collateral.”
Adrian looked at Vanessa.
“What did you add?”
“A protection.”
“You had no authority to alter the document.”
“I had every authority. They are my temporary voting rights.”
Adrian stood.
“You don’t understand what you’ve done.”
Vanessa met his stare.
“For the first time, I think I do.”
Elena’s voice came through Nathan’s earpiece.
“I’m inside Crown Lake’s system.”
“Prepare the stream,” he whispered.
Margaret opened the boardroom doors.
Nathan entered behind her.
Every face turned toward him.
Adrian’s shock lasted less than a second.
Then he smiled.
“The missing founder finally arrives.”
Nathan took the empty chair at the end of the table.
“You moved the meeting without notifying me.”
“You were unreachable.”
“You tracked my phone, my watch, and my car. I was never unreachable.”
Leonard looked at Adrian.
“Is that true?”
“No.”
Nathan placed the watch on the table.
“It recorded our conversation in the penthouse.”
Adrian’s confidence faded slightly.
The board secretary cleared her throat.
“The motion before us is the removal of Nathan Mercer as chief executive and transfer of temporary control to Halcyon Capital.”
Nathan leaned back.
“Call the vote.”
Vanessa looked at him, uncertain.
Margaret remained silent.
The first director voted yes.
The second voted yes.
The third voted yes.
Leonard Pike voted no.
Vanessa’s transferred shares carried enough weight to decide the result.
She looked at Nathan.
Then she said, “Yes.”
The motion passed.
Adrian exhaled.
For a moment, triumph softened his face.
He turned toward Nathan.
“You are no longer chief executive of Blackridge Dynamics.”
Nathan nodded.
“Congratulations.”
Adrian looked unsettled by the response.
Nathan took out his phone and pressed one button.
Every screen in the boardroom changed.
The Blackridge employee portal appeared.
A live audience counter rose rapidly.
Four hundred and twelve employees.
Then eight hundred.
Then more than two thousand investors, reporters, vendors, and government contacts.
Elena had opened the boardroom stream to the public.
Nathan looked directly into the camera.
“My name is Nathan Mercer. Five seconds ago, the board removed me as chief executive based on debt created through stolen funds and fraudulent biometric authorizations.”
Adrian reached for the control panel.
It did not respond.
Nathan continued.
“The new controlling officer of Blackridge Dynamics is Adrian Shaw. That means he is now legally responsible for preserving all company records.”
Margaret placed a formal notice in front of Adrian.
“If any document is deleted from this moment forward,” she said, “Mr. Shaw will be personally liable.”
Adrian’s face went pale.
Nathan inserted Charles’s data card into the boardroom computer.
The original maintenance warning appeared on every screen.
Then the stolen reserve transfers.
Then the passenger manifest.
Adrian’s name was clearly visible.
Nathan turned to him.
“You were scheduled to be on my father’s final flight. Why did you never tell anyone?”
The public audience counter passed fifty thousand.
Adrian looked toward Vanessa.
She did not help him.
Nathan played the first portion of Charles’s video.
His father’s voice filled the room.
“I removed Adrian from the flight because I received confirmation that he was reporting to Orion.”
Adrian stood so quickly that his chair struck the wall.
“You don’t know what that recording means.”
“Then explain it.”
Adrian looked toward the security cameras.
His fear no longer seemed directed at Nathan.
He was afraid of whoever might be watching from somewhere else.
“You need to shut down the stream.”
“Why?”
“Because Orion will see this.”
Nathan held his gaze.
“That is the idea.”
Adrian’s phone began ringing.
The screen displayed a single letter.
O.
No one in the boardroom moved.
The call continued.
Adrian finally answered.
A voice spoke loudly enough for his microphone to capture.
“You were instructed to complete the transfer quietly.”
Adrian swallowed.
“Nathan found the vault.”
“We know.”
“What do you want me to do?”
The voice paused.

“Correct your failure.”
Then every light in Crown Lake’s building went out.
