Chapter 7 - The Board Heard Everything

The emergency meeting began at ten the next morning.
Elena joined through a secure video screen from a private hospital room. Dr. Shah had agreed on the condition that the meeting remain brief and a nurse stay nearby.
Adrian sat beside Elena.
Across town, eleven directors gathered inside the Harper Medical Systems boardroom.
Garrick appeared with two attorneys.
Miriam was not invited.
The chairman, Samuel Rhodes, opened the meeting.
“The purpose of today’s session is to review allegations involving unauthorized financial transactions, falsified trust documents and attempts to obtain voting authority through questionable medical claims.”
Garrick leaned toward his microphone.
“I object to that characterization.”
Samuel looked at him.
“This is not a courtroom, Mr. Mercer.”
“Then my attorneys and I have no reason to remain.”
“You are free to leave. The vote concerning referral to law enforcement will continue without you.”
Garrick stayed.
Celia Ward presented the forensic report.
She traced payments from the Mercer Foundation to consulting companies that had performed no documented work. Those companies transferred funds to Mercer Development, paid personal expenses for Miriam and moved money into an overseas account.
One of Garrick’s attorneys whispered rapidly to him.
Garrick’s face lost color.
Celia displayed authorization forms carrying Elena’s signature.
“Our document examiner concluded that six signatures were digitally reproduced from a hospital insurance form. Two additional signatures appear to have been traced.”
A director named Helen Zhou looked toward Garrick.
“Did you submit these documents?”
“I relied on my financial staff.”
“Your name is listed as the submitting officer.”
“My staff acts under my authority.”
“Then you are responsible for their actions.”
Garrick shifted in his chair.
“There is a larger context. My wife has been medically and emotionally unstable.”
Adrian’s hand moved toward the microphone, but Elena stopped him.
She spoke for herself.
“I am recovering from cancer surgery. I am not incapable of understanding my finances.”
Garrick looked at the screen.
“Elena, this should not be discussed publicly.”
“The board meeting is confidential.”
“You know what I mean.”
“Yes,” she replied. “You mean I should remain silent.”
Samuel asked Elena to explain the circumstances surrounding the supposed authorization.
She described the documents Garrick brought to the hospital, the hidden power-of-attorney forms and the conversation recorded in the study.
Garrick’s attorney stood.
“We object to illegally obtained private recordings.”
Adrian replied calmly.
“The recordings were created by a security system installed and owned by the legal property holder. Texas counsel has reviewed the applicable consent and property laws. Questions of admissibility can be addressed later.”
Samuel looked at Elena.
“Do you want the recording played?”
“Yes.”
The boardroom speakers activated.
Garrick’s recorded voice filled the room.
Once the board accepts the proxy, you control Elena’s vote, Miriam had said.
Only while she is incapacitated, Garrick replied.
And who decides whether she is incapacitated?
The physician we retained.
No one moved when the recording ended.
Garrick leaned forward.
“That conversation has been manipulated.”
Celia displayed the file authentication report.
“No edits were detected.”
Elena then played the recording from her bedroom.
Miriam’s voice described prescription pain medication as temptation.
The sound of pills entering the toilet was followed by Elena pleading for Garrick to intervene.
His recorded response was unmistakable.
Stop making a scene.
Several directors looked away.
The final video showed Elena on the lawn, barely able to push the mower while Garrick ordered her to finish.
Samuel removed his glasses.
“Mr. Mercer, do you deny that this occurred?”
Garrick stared at Elena’s image on the screen.
He seemed to be searching for the woman who had once protected him from embarrassment.
She no longer existed.
“My wife was encouraged to take a short walk,” he said.
Adrian played Dr. Shah’s statement.
The physician confirmed that Elena had been instructed to avoid heavy pushing and pulling. She also confirmed that Garrick had falsely reported the medication as misplaced.
Helen Zhou folded her hands.
“You attempted to describe a recovering patient as unstable while deliberately interfering with her prescribed care.”
“That is not what happened.”
“Then what happened?”
Garrick opened his mouth.
Nothing came out.
The board moved into a closed voting session.
Twelve minutes later, Samuel returned.
“By unanimous decision, all authority granted to Garrick Mercer in connection with Harper Medical Systems, the Harper Family Trust and the Mercer Foundation is immediately revoked.”
Garrick’s attorney placed a hand on his arm.
Samuel continued.
“The board has also authorized civil action to recover misappropriated funds and referred the forensic report to state and federal authorities.”
“This is a family dispute,” Garrick said.
“No,” Elena replied from the screen. “You used my family’s company to finance your lies.”
He looked at her.
“You will destroy hundreds of jobs if Mercer Development collapses.”
Celia answered.
“Mercer Development currently employs twenty-three people. Emergency payroll protection has already been arranged through an independent administrator. Your employees will not lose wages because of your misconduct.”
Elena had approved that plan from the hospital.
Garrick could not use innocent employees as shields.
The chairman asked whether Elena wanted to make a final statement.
She looked at the directors, many of whom had known her since she worked in her father’s original warehouse.
“My father believed a company was measured by how it treated people when they were vulnerable,” she said. “I allowed my name and my trust to support a foundation that claimed to share that belief. I should have examined its actions more carefully.”
Samuel shook his head.
“You are not responsible for forged signatures.”
“I am responsible for what happens next.”
Elena announced that the remaining foundation assets would be placed under independent management. All administrative spending would be audited. Rural cancer-screening programs would receive direct funding without passing through Miriam’s social committee.
Garrick stood.
“You planned all of this with Adrian.”
Elena met his eyes.
“No. You planned it when you decided my illness was an opportunity.”
He disconnected from the meeting.
An hour later, investigators arrived at the mansion with warrants covering financial records and electronic devices connected to the foundation transactions.
Miriam called Elena seventeen times.
Elena answered the eighteenth call.
“You sent strangers into my home,” Miriam shouted.
“It is not your home.”
“You ungrateful little snake. Everything Garrick did was for your future.”
“He forged my signature.”
“He protected the family.”
“From what?”
“From your brother’s control.”
Elena looked at Adrian, who was reading near the window.
“My brother never asked me to surrender my rights.”
Miriam’s voice became quieter.
“You are making a mistake. Once this becomes public, people will know what kind of wife you are.”
Elena thought of the church speeches, the carefully staged photographs and the guests who had applauded Miriam’s words about compassion while Elena suffered upstairs.
