Chapter 7 - BUYING THE COMPANY ONE DEBT AT A TIMEOlivia did not purchase Mercer Development Group in a single transaction.

She surrounded it quietly.
Through a separate investment entity, Aurelia began negotiating with banks holding Mercer Development’s troubled loans. Several lenders were eager to sell because they no longer trusted Charles’s recovery plan.
The loans were worth hundreds of millions at face value.
Olivia’s investment partners purchased them at a deep discount.
Samuel warned her repeatedly that emotions could not influence the deal.
“If we do this, we do it because the assets justify the risk,” he said. “Not because Charles hurt you.”
Olivia agreed.
For six weeks, teams analyzed every building, parcel of land, construction contract and outstanding lawsuit connected to Mercer Development.
The results were troubling.
The company still owned valuable assets, but Ethan’s Miami project was draining cash. He had approved contracts with companies connected to his friends. Construction expenses had increased without proper documentation.
One supplier had billed Mercer Development for materials that were never delivered.
Charles knew some controls were weak, but he refused to investigate Ethan.
According to an internal email, he had written:
We will address accountability after the project becomes profitable. Until then, no actions that undermine Ethan’s authority.
Olivia read the sentence several times.
It was the philosophy of her entire childhood.
Accountability was always delayed for Ethan.
Consequences were immediate for her.
Aurelia’s lawyers also filed a private notice asserting Olivia’s rights under Arthur’s trust loan agreement. The claim placed additional pressure on Mercer Development.
Charles still did not know Olivia controlled the investment entity buying the company’s debt.
He only knew that lenders had become less cooperative.
His phone calls grew more urgent.
Finally, he left a voicemail without pride.
“We need fifteen million dollars for ninety days. It would protect the company until the Miami sales close. I’m asking you as your father.”
Olivia listened to it in silence.
Daniel sat across from her in their living room.
“What are you feeling?” he asked.
“I thought I would feel powerful.”
“And?”
“I feel tired.”
Daniel nodded.
“Power and peace aren’t always the same thing.”
Olivia looked at the fire burning in the fireplace.
“Would I be wrong to take the company?”
“Can it survive?”
“Yes, but not under Ethan.”
“Will innocent employees lose their jobs if it fails?”
“Thousands could.”
“Then this is bigger than your father.”
That was the answer Olivia needed.
She approved the final acquisition proposal.
Aurelia’s investment group offered the lenders enough money to obtain control of Mercer Development’s secured debt. At the same time, several large shareholders agreed to sell their stock after learning how serious the company’s financial problems had become.
The transaction would give Olivia effective control if Charles failed to make an upcoming payment.
He missed it on a Friday morning.
By noon, Olivia’s attorneys held the authority to restructure the company.
She could have announced the acquisition immediately.
Instead, she waited.
Charles had requested a family meeting at Westbrook Country Club.
He believed he was inviting his daughter to rescue him.
Olivia accepted.
Before leaving her office, she placed the acquisition notice, the trust records and Arthur’s original loan agreement inside a blue folder.
Samuel stood in the doorway.
“Are you ready?”

“I’ve been getting ready since the day he left those chairs empty.”
